Terms and Conditions

1. Acceptance of Terms

By creating an account, accessing, or using Instructor Central, you agree to comply with and be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of Services

Instructor Central provides a web-based platform designed for CPR instructors and training organizations, including but not limited to:

• Course scheduling and submissions
• Certification tracking and management
• Product sales and transactions
• Sharing videos, training materials, and other content
• Business and instructor management tools

Services may be updated, modified, or discontinued at any time without notice.

3. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use the Platform only for lawful purposes
• Ensure all submitted data (including certifications and course records) is accurate and compliant with applicable regulations

You are solely responsible for all activity conducted under your account.

4. Payments and Subscriptions

• Certain features of Instructor Central may require payment or subscription.
• All payments are final. No refunds will be issued under any circumstances.
• Subscriptions must be canceled with a minimum of three (3) days’ notice prior to the next billing cycle.
• Failure to cancel within the required timeframe may result in automatic renewal and charges.

5. Marketplace and Transactions

Instructor Central may allow users to sell products or services:

• Users are solely responsible for their listings, transactions, fulfillment, and compliance with laws
• Instructor Central is not a party to transactions between users
• Any disputes must be resolved directly between the involved parties

6. Content Ownership and Use

• You retain ownership of any content you upload (videos, documents, course materials, etc.)
• By uploading content, you grant Instructor Central a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content within the Platform
• You agree not to upload content that is illegal, infringing, or harmful

7. Compliance Disclaimer

Instructor Central provides tools to assist with instructor and certification management. However:

• The Platform does not guarantee compliance with any regulatory body, including DOT or other agencies
• Users are solely responsible for ensuring their own compliance with all applicable laws and standards

8. Limitation of Liability

To the fullest extent permitted by law: Instructor Central, Hale CPR LLC, and Dannielle Hale shall not be held liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:

• Loss of data
• Loss of profits or business opportunities
• Certification errors or omissions
• Regulatory or compliance issues
• Transaction disputes between users
• Service interruptions or technical failures

Use of the Platform is at your own risk.

9. Release of Liability

By using Instructor Central, you expressly agree to release, waive, and discharge Instructor Central, Hale CPR LLC, and Dannielle Hale from any and all claims, liabilities, damages, and causes of action, whether known or unknown, arising out of or related to:

• Your use of the Platform
• Any services or transactions conducted through the Platform
• Any reliance on information provided within the Platform

10. Indemnification

You agree to indemnify and hold harmless Instructor Central, Hale CPR LLC, and Dannielle Hale from and against any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or third-party rights

11. Account Termination

Instructor Central reserves the right to suspend or terminate your account at any time, without notice, for any reason, including violation of these Terms.

12. Modifications to Terms

These Terms may be updated at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
